Terms of Service
Version 1.1 — effective 20 September 2026 (v1.0: 3 December 2025)
1. Agreement to Terms
These Terms of Service (the “Terms”) are a binding agreement between seRevel, Inc., a corporation organized under the laws of the United States (“seRevel”, “we”, “us”), and the individual or entity using the seRevel service (“you” or “Customer”). By creating an account or using the service, you accept these Terms. If you act on behalf of an organization, you confirm you have authority to bind it. If you do not agree, do not use the service.
2. The Service
seRevel is a multi-tenant software service for planning and running structured product evaluations (POCs, POVs and pilots), including per-tenant workspaces, prospect-facing evaluation sites, integrations and AI-assisted features. We may add, change or discontinue features at any time.
3. Accounts and Acceptable Use
- You must provide accurate information and keep your credentials secure. You are responsible for all activity under your account and workspace.
- You may not use the service for unlawful purposes, to infringe others’ rights, or to transmit malware, spam or harmful content.
- You may not probe, disrupt, reverse-engineer or attempt to access other tenants’ data or the service’s infrastructure.
- You are responsible for the prospects and third parties you invite into your evaluation workspaces and for their compliance with these Terms.
4. Competitive Use
The service is offered to vendors for running their own product evaluations. It is not offered to competitors of seRevel. Accordingly:
- You may not access or use the service if you are, or act on behalf of, a direct competitor of seRevel — a person or company that offers, develops or markets a product for managing proofs of concept, proofs of value, pilots or other technical evaluations — except with our prior written consent.
- You may not use the service, its documentation, its output or any information obtained from it to build, train, benchmark, or improve a product or service that competes with the service, or to copy its features, workflows or user interface.
- You may not publish or disclose to third parties any benchmark, performance or comparative evaluation of the service without our prior written consent.
- We may decline to create a workspace, and may refuse any registration, at our discretion — including where an applicant appears to fall within this section.
- If you breach this section we may suspend or terminate your account and every associated workspace immediately and without notice (Section 8), and you are liable for the damages caused by the breach, including our reasonable costs of establishing and enforcing it. Our other rights and remedies are unaffected.
5. Customer Data
You own the content and data you and your prospects submit to the service (“Customer Data”). You grant seRevel a limited license to host, process and display Customer Data solely to provide, secure and improve the service. Our processing of personal data is described in our Privacy Policy, which forms part of these Terms.
6. Promotions and Commercial Content
seRevel reserves the right to display vendor, partner and other commercial promotions and content inside evaluation (POC/POV) workspaces and on prospect-facing sites, including those associated with your account. Such content is provided by seRevel or its partners and does not imply endorsement by you.
7. Free Tier and Paid Plans
- The free tier is provided at our discretion, may be limited in features or usage, and may be changed or withdrawn at any time.
- Paid plans are billed in advance for each subscription period via our payment processor, Stripe. By subscribing you authorize recurring charges until you cancel.
- Fees are non-refundable. No refunds or credits are given for partial periods, downgrades or unused time. Cancellation takes effect at the end of the current period.
- We may change pricing or plan contents with at least 30 days’ notice; changes apply from your next billing period.
- Fees exclude taxes; you are responsible for any applicable taxes.
8. Suspension and Termination
You may stop using the service or cancel your subscription at any time. We may suspend or terminate your account or any workspace, with or without notice, if you breach these Terms (including Section 4), if payment fails, if required by law, or if your use poses a risk to the service or others. We may also discontinue the service entirely. On termination your right to use the service ends; we may delete Customer Data after a reasonable period and have no obligation to retain it.
9. Disclaimer of Warranties
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS, IMPLIED OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY OR UNINTERRUPTED, ERROR-FREE OR SECURE OPERATION. AI-GENERATED OUTPUT MAY BE INACCURATE AND MUST BE INDEPENDENTLY VERIFIED. YOU USE THE SERVICE AT YOUR OWN RISK.
10. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, SEREVEL AND ITS OFFICERS, DIRECTORS, EMPLOYEES, PARTNERS AND SUPPLIERS ASSUME NO OBLIGATIONS, LIABILITIES OR RESPONSIBILITIES ARISING FROM YOUR USE OF THE SERVICE, AND SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY OR PUNITIVE DAMAGES, OR FOR LOSS OF PROFITS, REVENUE, DATA, BUSINESS OR GOODWILL, HOWEVER CAUSED AND UNDER ANY THEORY OF LIABILITY, EVEN IF ADVISED OF THE POSSIBILITY. SEREVEL’S TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) THE FEES YOU PAID TO SEREVEL IN THE TWELVE (12) MONTHS BEFORE THE CLAIM AROSE OR (B) ONE HUNDRED US DOLLARS (US$100). Some jurisdictions do not allow certain exclusions; in that case these limits apply to the fullest extent permitted.
11. Indemnity
You will defend and indemnify seRevel against claims, damages and costs arising from Customer Data, your use of the service, or your breach of these Terms.
12. Governing Law
These Terms are governed by the laws of the State of Delaware, USA, and applicable US federal law, without regard to conflict-of-law rules. Any dispute shall be brought exclusively in the state or federal courts located in Delaware, and you consent to their jurisdiction.
13. Changes to These Terms
These Terms are versioned. We may update them from time to time by publishing a new version on this page with a new version number and effective date; for material changes we will make reasonable efforts to notify you. Continued use of the service after the effective date constitutes acceptance of the updated Terms.
14. General
These Terms, together with the Privacy Policy, are the entire agreement between you and seRevel regarding the service. If any provision is unenforceable, the rest remains in effect. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition or sale of assets.
